1. Introduction

Welcome to AKA Comm Solutions.

These Terms & Conditions govern the use of our website, reports, materials, and services, including Brazil ADR Earnings Call Gap Briefs, earnings-season coverage packages, source-based transcript comparisons, and related capital markets language intelligence materials.

By accessing our website, requesting a sample, purchasing a report, subscribing to coverage, or otherwise using our services, you agree to these Terms & Conditions.

If you do not agree with these Terms & Conditions, you should not use our website, reports, materials, or services.

2. Definitions

For purposes of these Terms & Conditions:

“AKA Comm Solutions,” “we,” “us,” or “our” means AKA Comm Solutions.

“Client,” “you,” or “your” means any individual, company, investment firm, fund, asset manager, research firm, law firm, or other entity that accesses, requests, purchases, receives, or uses our services or materials.

“Services” means the source-based market intelligence, English-record gap analysis, transcript comparison, language intelligence, and related services provided by AKA Comm Solutions.

“Report” means any Brazil ADR Earnings Call Gap Brief, Gap Summary, source comparison, sample report, earnings-season coverage report, custom report, or other written material prepared by AKA Comm Solutions.

“Source Material” means the Portuguese-language earnings call audio, transcript, webcast, presentation, disclosure, or other source material used as the basis for our analysis.

“Public English Record” means any public English transcript, simultaneous-interpretation transcript, company-published English version, third-party transcript, transcript feed, or other English-language version against which the Source Material is compared.

“Gap Summary” means the section of a Report identifying key information that may have been missing, changed, softened, or lost in the Public English Record compared with the Portuguese Source Material.

3. Nature of the Services

AKA Comm Solutions provides capital markets language intelligence.

Our Services are designed to identify differences between Portuguese-language earnings-call Source Material and the Public English Record used by investors, analysts, research platforms, or other market participants.

Our Reports may include:

• Source-checked English renderings of Portuguese earnings-call excerpts;

• Comparisons between the Source Material and the Public English Record;

• Original Portuguese excerpts;

• Gap Summaries identifying information that may have been missing, changed, softened, or lost in English;

• Earnings-season coverage of selected Brazilian ADRs or Portuguese-language Brazilian public-company calls;

• Custom source-based language intelligence reports.

Our Services are based on language, source comparison, and market-relevant communication analysis. We do not provide investment advice, securities recommendations, trading recommendations, portfolio advice, valuation opinions, price targets, ratings, buy/sell/hold recommendations, or individualized investment guidance.

4. No Investment Advice

AKA Comm Solutions is not an investment adviser, securities analyst, broker-dealer, portfolio manager, financial adviser, or securities consultant.

Our Reports are not intended to recommend, endorse, encourage, or discourage the purchase, sale, holding, shorting, or trading of any security, ADR, stock, bond, derivative, fund interest, or financial instrument.

Any references to companies, securities, ADRs, earnings calls, transcripts, disclosures, or market information are provided solely for source-based language intelligence and English-record comparison purposes.

Clients are solely responsible for their own investment, trading, legal, regulatory, and business decisions.

You should not rely on our Reports as the basis for any investment decision. You should consult qualified investment, legal, accounting, tax, or regulatory professionals before making any decision involving securities, investments, litigation, or corporate disclosures.

5. No Legal, Tax, Accounting, or Regulatory Advice

AKA Comm Solutions does not provide legal, tax, accounting, audit, regulatory, or compliance advice.

Reports provided to law firms, litigation professionals, forensic research firms, or other clients are limited to source-based language intelligence and comparison of Portuguese Source Material against English-language versions.

Any use of our Reports in connection with legal, regulatory, litigation, arbitration, enforcement, or investigative matters is solely the responsibility of the Client.

6. Engagement and Scope

Each engagement will be governed by the scope agreed between AKA Comm Solutions and the Client, which may include a single-company Gap Brief, a 5-ADR earnings-season package, a 10-ADR earnings-season package, full Portuguese-call Brazil ADR coverage, or a custom project.

The agreed scope may specify:

• The company or companies to be covered;

• The relevant earnings call or reporting season;

• The type of Report to be delivered;

• The expected delivery timeframe;

• The price and payment terms;

• Any special instructions or exclusions.

AKA Comm Solutions is not obligated to perform work outside the agreed scope unless separately agreed in writing.

7. Delivery Timeframes

AKA Comm Solutions aims to deliver Brazil ADR Earnings Call Gap Briefs within 24 hours after the relevant earnings call, subject to call length, audio quality, source availability, transcript availability, workload, technical issues, and the agreed scope of coverage.

Delivery timeframes are estimates unless expressly agreed otherwise in writing.

AKA Comm Solutions is not responsible for delays caused by unavailable source materials, poor audio quality, delayed publication of call recordings, technical failures, force majeure events, or circumstances outside our reasonable control.

8. Fees and Payment

Fees for Services will be provided in a proposal, invoice, order confirmation, or written communication.

Unless otherwise agreed in writing, payment is due before work begins.

AKA Comm Solutions may require full payment or a deposit before commencing any Report, package, or custom engagement.

All fees are exclusive of taxes, bank fees, transfer fees, payment processing fees, withholding taxes, currency conversion charges, or other third-party costs, unless expressly stated otherwise.

The Client is responsible for any such amounts.

9. Cancellations and Refunds

For single-company Reports, the Client may cancel the order before work begins. If cancellation occurs after payment but before work has begun, AKA Comm Solutions may retain a cancellation fee equal to 20% of the agreed price.

Once work has begun, the order is non-cancellable and non-refundable.

For earnings-season coverage packages, the package becomes non-cancellable and non-refundable once monitoring, preparation, source collection, call coverage, or analysis has begun for any covered company.

No refunds will be provided for completed Reports, delivered Reports, missed market opportunities, investment losses, changes in market conditions, or Client dissatisfaction based on investment outcomes.

10. Client Responsibilities

The Client is responsible for:

• Providing accurate instructions;

• Identifying any companies, ADRs, calls, or coverage priorities relevant to the engagement;

• Reviewing Reports before relying on them for any internal purpose;

• Ensuring that use of the Reports complies with applicable laws, regulations, internal policies, fund policies, compliance procedures, and contractual restrictions;

• Obtaining any legal, investment, accounting, tax, regulatory, or compliance advice required for the Client’s intended use.

The Client agrees not to use the Services or Reports for any unlawful, misleading, fraudulent, defamatory, market-manipulative, or unauthorized purpose.

11. Source Materials and Public Information

AKA Comm Solutions may rely on publicly available earnings-call audio, webcasts, transcripts, company disclosures, investor-relations materials, public transcript sources, and other public materials.

We may also rely on materials provided by the Client.

AKA Comm Solutions does not guarantee that any public source is complete, accurate, uninterrupted, available, or free from errors.

If Source Material is unavailable, incomplete, inaudible, restricted, removed, delayed, or otherwise unsuitable, AKA Comm Solutions may limit, modify, delay, or decline the relevant Report.

12. Intellectual Property and Use Rights

Unless otherwise agreed in writing, Reports prepared by AKA Comm Solutions are provided to the Client for internal business, investment research, legal review, or professional use only.

The Client may not publish, resell, sublicense, redistribute, upload, post, reproduce, circulate, or otherwise make any Report available to third parties without prior written permission from AKA Comm Solutions.

The Client may share Reports internally with its employees, partners, officers, directors, analysts, portfolio managers, legal advisers, compliance personnel, or other internal professional users who have a legitimate need to access the Reports.

External redistribution requires prior written authorization.

AKA Comm Solutions retains all intellectual property rights in its methodologies, report formats, templates, analytical structure, Gap Summary format, source-comparison format, and any proprietary materials created by AKA Comm Solutions.

13. Third-Party Materials

Reports may refer to or include limited excerpts from public earnings calls, public transcripts, company materials, public disclosures, or other third-party materials for comparison, commentary, and source-analysis purposes.

AKA Comm Solutions does not claim ownership of third-party materials.

The Client is responsible for ensuring that its use, storage, redistribution, or publication of any Report or third-party material complies with applicable copyright, database, contractual, platform, and other legal restrictions.

14. Confidentiality

AKA Comm Solutions will treat non-public information provided by the Client as confidential and will not knowingly disclose such information to third parties except as necessary to provide the Services, comply with legal obligations, enforce these Terms & Conditions, or as otherwise authorized by the Client.

Confidentiality obligations do not apply to information that is publicly available, independently developed, lawfully obtained from third parties, or required to be disclosed by law, court order, regulatory request, or governmental authority.

15. Accuracy and Limitations

AKA Comm Solutions aims to provide accurate and useful source-based language intelligence.

However, earnings calls, live speech, audio recordings, simultaneous interpretations, transcripts, and public materials may contain ambiguities, interruptions, inaudible portions, technical issues, speaker errors, or unclear statements.

Reports reflect our professional judgment based on the available Source Material and Public English Record at the time of preparation.

AKA Comm Solutions does not guarantee that any Report will identify every possible difference, omission, mistranslation, nuance, implication, or interpretation issue.

Reports are provided on an “as is” and “as available” basis.

16. No Warranty of Market Impact

AKA Comm Solutions does not guarantee that any information identified in a Report will be material, actionable, price-sensitive, profitable, legally significant, or relevant to any particular investment, trading, litigation, regulatory, or business decision.

We do not guarantee any investment return, trading outcome, litigation outcome, regulatory outcome, business result, or commercial result.

The Client assumes all risks associated with any use of the Reports.

17. Limitation of Liability

To the maximum extent permitted by applicable law, AKA Comm Solutions will not be liable for any indirect, incidental, consequential, special, punitive, exemplary, or similar damages, including lost profits, lost revenue, trading losses, investment losses, lost opportunities, reputational harm, business interruption, or loss of data.

To the maximum extent permitted by applicable law, the total liability of AKA Comm Solutions for any claim arising out of or relating to the Services, Reports, website, or these Terms & Conditions will not exceed the amount paid by the Client to AKA Comm Solutions for the specific Service giving rise to the claim.

18. Indemnification

The Client agrees to indemnify and hold harmless AKA Comm Solutions from and against any claims, losses, damages, liabilities, costs, or expenses arising out of or related to:

• The Client’s use or misuse of the Reports;

• The Client’s investment, trading, legal, regulatory, or business decisions;

• The Client’s redistribution, publication, or disclosure of Reports or third-party materials;

• The Client’s breach of these Terms & Conditions;

• The Client’s violation of applicable laws, regulations, internal policies, third-party rights, or contractual obligations.

19. Website Use

The AKA Comm Solutions website is provided for informational and commercial purposes.

We do not guarantee that the website will be uninterrupted, secure, error-free, or free from viruses or harmful components.

We may modify, suspend, or discontinue any part of the website at any time.

20. Changes to Services and Terms

AKA Comm Solutions may modify its Services, pricing, report formats, coverage, website content, and these Terms & Conditions at any time.

The version of the Terms & Conditions available on our website at the time of use or engagement will govern, unless otherwise agreed in writing.

Continued use of our website, Reports, or Services after changes are posted constitutes acceptance of the updated Terms & Conditions.

21. Governing Law and Jurisdiction

These Terms & Conditions are governed by the laws of Brazil.

Any dispute, controversy, or claim arising out of or relating to these Terms & Conditions, the Services, Reports, website, or any engagement with AKA Comm Solutions shall be submitted to the courts of the City of São Paulo, State of São Paulo, Brazil.

The Client waives any objection to such jurisdiction and venue, including any claim that such forum is inconvenient or improper.
